Terms of Service

Effective Date: March 1, 2025

[Article 1] Purpose

These Terms of Service (hereinafter referred to as "these Terms") sets forth the rights and obligations between Day1Company Inc. (hereinafter referred to as "the Company"), which provides the PODO speaking service, and the user (hereinafter referred to as "Member"), in relation to the use of the service.

However, in the process of providing various services, the Company may establish additional agreements or policies (hereinafter referred to as "Individual Terms and Policies") besides these Terms. In the event that Individual Terms and Policies are established, the provisions of such Individual Terms and Policies shall apply alongside these Terms. If any inconsistencies or conflicts arise between these Terms and the Individual Terms and Policies, the provisions of the Individual Terms and Policies shall prevail.

To protect the rights of Members, the Company has prepared these Terms in a clear and understandable manner. Please be sure to review and agree to these Terms before using the PODO speaking service.

[Article 2] Membership Registration and Withdrawal

Membership registration is completed when a user applies for membership in accordance with these Terms and the Company accepts the application for membership registration.

The Company may postpone or refuse acceptance of a membership registration in the following cases:

  • When the provision of essential information required for membership registration is refused.
  • When a user applies for membership registration by entering another person's information or false information.
  • When a user applies for membership registration with the intention of disrupting public order.
  • When the Company reasonably determines that the user has applied for membership registration for the purpose of gaining personal benefits.
  • When a user applies for membership registration for commercial purposes.
  • When the Company determines that the user is engaging or involved with anti-social forces.
  • In any other case in which the Company deems it impossible to accept the membership registration.

However, in the following cases, the Company may refuse or postpone accepting a withdrawal request:

  • When the Member has legal obligations to be fulfilled with the Company.

In addition, if it is determined that the Member falls under the grounds stipulated in Article 3.2, the Company may terminate the Member's account regardless of the Member's withdrawal request.

The Company will delete, destroy, or retain for a certain period the information provided by the Member up to the point of withdrawal in accordance with applicable laws or the Privacy Policy stipulated in Article 5.

[Article 3] Rights and Obligations of Members

Members shall comply with the laws of the United States and these Terms, as well as any Individual Terms and Policies, when using the service.

Members may use the services provided by the Company either free of charge or on a paid basis. The specific details and terms for the paid services will be posted on the initial screen of the service.

The Company may temporarily suspend a Member's use of the service in the event of:

  • Maintenance, repair, or replacement of telecommunications facilities.
  • Disruptions in the information communication network.
  • Other legal or technical hindrances.

If a Member determines that their account has been stolen or is being used by a third party, they must immediately notify the Company and, if instructed by the Company, comply accordingly.

All services, including class content, are for the use of the Member only. A Member may not provide (including establishing any form of pledge or trust) or grant permission for third parties to use the service.

A Member may not archive, duplicate, distribute, modify, display, demonstrate, publish, license, create derivative works from, sell, encourage, or otherwise exploit the class content or any other information obtained through the service.

Members shall not bypass, remove, modify, disable, nullify, impair, or otherwise interfere with any content protection features of the service, nor use robots, spiders, scrapers, or other automated means to access or extract data from the service.

Members may not upload, post, email, or otherwise transmit any data that includes computer viruses, other computer code, files, or programs designed to disrupt, destroy, or limit the functionality of computer software, hardware, or communication equipment related to the service.

Members shall not engage in the following activities in connection with the use of the service. If a Member engages in any of the following, the Company may take measures including temporary or permanent suspension of the account, claim damages, or pursue criminal charges or legal action:

  • Acts that violate the laws of the United States or other jurisdictions.
  • Acts that breach these Terms or any Individual Terms and Policies.
  • Illegal acts carried out directly or indirectly through the use of Day1Company services.
  • Using Day1Company for commercial purposes on behalf of oneself or third parties without the Company's prior consent.
  • Unauthorized collection of information from third parties.

Should any of the above actions cause disadvantages or damages, the Member shall be responsible for compensation at their own cost, and the Company shall not be held liable for any such disadvantages or damages.

[Article 4] Protection of Intellectual Property

The class content and other works provided to Members through Day1Company are protected by intellectual property laws of the United States and other countries, and are the property of the Company or third parties.

When a Member posts information on Day1Company, the Company or designated third parties may use that information for commercial purposes such as promotion and marketing. However, if the Member notifies the Company of their opposition to such use, the Company will cease using it.

Members shall not exercise any moral rights of authorship or similar rights over the posted content against the Company or any designated third party.

The Company may modify, delete, or change the placement of any information posted by Members as necessary for business purposes.

Members warrant that the content they post does not infringe on the copyright, trademark, patent, design rights, utility model rights, trade secrets, rights of honor, portrait rights, privacy rights, publicity rights, or any other statutory or contractual rights of any third party, and does not violate any laws. Should a violation of this warranty result in the Company being held accountable or facing actions from administrative authorities, the Member shall resolve the matter at their own expense and be liable for any resulting losses or costs incurred by the Company.

[Article 5] Privacy Policy

This Privacy Policy establishes the handling of personal information acquired from users (hereinafter referred to as "Users") through various services including the information-providing services operated by Day1Company Inc. (hereinafter referred to as "Day1Company") (hereinafter collectively referred to as "the Service").

Purpose of Using Personal Information

Day1Company uses the personal information acquired through the Service for the following purposes:

  • To perform contracts related to the provision of the service and for settlement of service fees.
  • To provide content and process fee payments.
  • To manage Members, deliver advertising information, display recommended content tailored to Users' interests, track access frequencies, and compile and analyze statistics regarding service usage.
  • For conducting raffles, contacting winners, shipping products, or granting special benefits.

Acquisition of Personal Information

Day1Company acquires the following information about Users to the extent necessary for the provision of the Service. The items listed below are examples, and additional information may be acquired as needed:

  • When registering for the Service: Name, email address, password, etc.
  • When using the Service: Service usage records, access logs, cookie information, access IP addresses, records of misuse, etc.

Disclosure of Personal Information

Day1Company will not provide personal information to any third party without prior consent from the User. However, if disclosure is required by law, court orders, or governmental authorities, personal information may be provided to a third party within the minimum necessary scope. Day1Company may provide personal information acquired through the Service to instructors providing class content within the scope necessary for the service. Instructors may use such personal information for providing services to Users.

Outsourcing the Handling of Personal Information

Day1Company may outsource the handling of personal information to third parties (including those located outside the country) within the scope necessary to achieve the purposes set forth in the "Purpose of Using Personal Information" section above. When outsourcing, Day1Company will exercise appropriate oversight over the entrusted party.

User Rights Concerning Personal Information

Users may request the following regarding their personal information:

  • Notification of the purpose of use
  • Disclosure
  • Correction, addition, or deletion
  • Suspension of use and erasure
  • Cessation of provision to third parties

(These requests are collectively referred to as "disclosure, etc."). However, in cases where Day1Company is not obligated to disclose under the Personal Information Protection Act, or is unable to respond to such requests, these requests may not be accommodated. Requests for disclosure, etc. should be directed to the "Contact Information" provided below.

Security Information

To ensure the security of the Service, Day1Company employs SSL (Secure Sockets Layer) technology to protect critical information such as credit card numbers from being intercepted, disrupted, or tampered with during transmission.

Miscellaneous

Day1Company reserves the right to change all or part of this Privacy Policy. In the event of significant changes, the updated Privacy Policy will be prominently posted on the website where the Service is provided.
